UNIDATA: SIGNED THE DEED OF MERGER BY INCORPORATION OF THE TWT GROUP INTO UNIDATA S.P.A.

Roma, 21 December 2023 – Unidata S.p.A. (UD.MI), operator of telecommunications, cloud and IoT services, listed on Euronext Milan – STAR Segment, organized and managed by Borsa Italiana S.p.A., announces that, on today's date, the deed relating to the merger by incorporation of the TWT Group (made up of the following companies: UNITWT S.p.A., Berenix S.r.l. and TWT S.p.A.) into Unidata S.p.A. was signed (the "Merger"), as established by the resolution dated 16 October 2023.

The Merger is part of the broader context of corporate rationalization and reorganization aimed at simplifying the Group's management, corporate and accounting structures, also with benefits in terms of efficiency.

Since this is a "simplified" merger of wholly owned subsidiaries, please note that pursuant to art. 2505, paragraph 2, of the Civil Code and the Articles of Association, the resolution was adopted by the Board of Directors, through public deed, and not by the Shareholders' Meeting.

Pursuant to art. 2504-bis, paragraph 2, of the Civil Code, the effects of the Merger will take effect, subject to the registrations in the Company Registration List provided for by art. 2504 of the Civil Code, from 11.59 pm on 31 December 2023.

For accounting and tax purposes and for the purposes of art. 2501-ter, no. 6 of the Civil Code, the operations of UNITWT S.p.A., Berenix S.r.l. and TWT S.p.A. will be charged to the financial statements of Unidata S.p.A., pursuant to art. 2504-bis, paragraph 3, of the Civil Code and art. 172, paragraph 9, of the T.U.I.R starting from the 1st useful day of the financial year in which the Merger in question became effective, i.e. 1st March 2023, date of the acquisition by UNITWT S.p.A. of Berenix S.r.l. and TWT S.p.A..

As for the suspensive conditions to which the completion of the Merger was subject, represented, inter alia, by the expiry of the terms for any opposition from the company's creditors provided for pursuant to art. 2503 of the Civil Code, as well as from the issuing of the authorization pursuant to the Golden Power legislation for intragroup operations, the Company certifies and declares that the same conditions have come true.

Since the completion of the Merger, Unidata S.p.A. will take over all legal relationships of the TWT Group, assuming rights and obligations prior to the Merger itself.
