Unicredit — Share Issue/Capital Change 2023

UniCredit communicates that, following the capital increase of Euro 57,704,548 corresponding to nr. 5,508,167 ordinary shares issued pursuant the resolution passed by the Board of Directors on 16 February 2023, pursuant to the authorities given by the Extraordinary Shareholders' Meeting on 20 April 2017, the Extraordinary Shareholders' Meeting on 12 April 2018, the Extraordinary Shareholders' Meeting on 11 April 2019, the Extraordinary Shareholders' Meeting on 9 April 2020 and the Extraordinary Shareholders' Meeting on 15 April 2021, the fully subscribed and paid-up share capital of UniCredit S.p.A. currently amounts to Euro 21,277,874,388.48 and is divided into 1,940,777,908 ordinary shares with no nominal value.

The resolution to increase the share capital has been registered with the Company Register on 27 February 2023.

We also inform you that as of today the updated version of the Articles of Association has been filed with the Companies Register and it is published on the company website at www.unicreditgroup.eu, on the website of the authorized storage mechanism "emarket STORAGE" managed by Spafid Connect S.p.A. (www.emarketstorage.com) and it is available to shareholders at the Company's Registered Office in Milan.
