With reference to the UniCredit Shareholders' Meeting convened on 11th April 2019, in a single call, to decide, inter alia, on the following item on the Agenda:
3. Appointment of the Board of Statutory Auditors and of the substitute Statutory Auditors
the undersigned Allianz SE, in the name and on behalf of the shareholder Allianz Finance II Luxembourg S.à.r.I., with registered office in 14, Boulevard F.D. Roosevelt - L 2450 Luxembourg, registered with the Registre de Commerce et des Sociétés of the Granduchy of Luxembourg under n. B128975, holder of no. 22,240,131 UniCredit S.p.A. ordinary shares equivalent to an ownership equal to 0.997% of the share capital, pursuant to Clause 30 of the UniCredit S.p.A. Articles of Association files the following list divided into two directories, containing respectively three candidates for the seat as permanent Auditor and two candidates for the seat as stand-in Auditor, listed by a progressive number:

In compliance with the UniCredit Articles of Association and the current provisions, we send, together with the list, the following documentation:

a copy of the communication attesting the ownership of the shareholding necessary to submit the list;

- the statement whereby each candidate irrevocably accepts the position and attests, under his/her own responsibility, that there are no reasons for his/her ineligibility or incompatibility and that he/she possesses the requirements provided for by current provisions, also of a regulatory nature, in particular those regarding experience, integrity and independence, accompanying:
- the curriculum vitae of each candidate containing his/her personal and professional characteristics:
- a list of the management and control offices held in other companies.
It should be noted that the list takes also into account the recommendations drawn up by the Company within the document "Profile of the Board of Statutory Auditors"; on this regard, we attach the statements whereby each candidate declares the knowledge and expertise accrued in the areas of competency envisaged by the Profile itself.
· According to the current provisions and in particular to the Consob communication no. DEM/9017893 dated 26 February 2009, we states the inexistence of any connection, also indirect, or of significant relationships relevant for the existence of the above connections, with shareholders who hold, also jointly, a control or relative majority shareholding in UniCredit S.p.A..
Furthermore, with reference to the following item on the Agenda of the above-mentioned Shareholders' Meeting:
- Determination of the remuneration due to the Board of Statutory Auditors
we submit the following proposal concerning the annual remuneration due to the Board of Statutory Auditors' members:
- Euro 170,000 for the Chairman of the Board of Statutory Auditors
- Euro 125,000 for each permanent Statutory Auditor,
as well as an attendance fee of Euro 400 for each Board of Statutory Auditors meeting and of Euro 400 as attendance fee for taking part in any meeting of the other corporate bodies.
Such proposal takes into account that, starting from this renewal, the Board of Statutory Auditors shall carry out also the functions of the Supervisory Body pursuant to the Legislative Decree no. 231/2001.

I accept my candidacy / I stand for election as 1 permanent Statutory Auditor / I stand-in Statutory Auditor and I irrevocably accept my possible appointment as Statutory Auditor.

During his university carrier, he has gained five years of work experience at the Peat Marwick Mitchell Auditing Company (now KPMG), carrying out his activity in the audit and consultancy sector.
After the graduation, he worked as an applied researcher in the banking technique course of Prof. E. Ballerini.
He worked for two years in a leading Chartered Accountants firm in Milan, gaining his experience in the fields of tax and corporate consultancy for medium-large companies.
In 1985, he founded the Firm Camozzi & Bonissoni (now CBA Studio Legale) and since 2007 he is the Managing Partner.
CBA Studio Legale, is an independent law firm endowed with more than 120 professionals operating across five offices between Italy and Germany, including lawyers and chartered accountants who cover the various areas of law and tax advice.
