PRESS RELEASE
New appointments in UniCredit: Andreotti Vice Chairman of the Board of Directors, Pierdicchi Chairwoman of the Related-Parties Committee and Tondi member of the Internal Controls & Risks Committee
UniCredit today announced that the Board of Directors – on the recommendation of the Corporate Governance, Nomination and Sustainability Committee - appointed (i) Director Lamberto Andreotti as Vice Chairman of the Board of Directors, (ii) Director Maria Pierdicchi as Chairwoman of the Related-Parties Committee and (iii) Director Francesca Tondi as member of the Internal Controls & Risks Committee.
The decision mentioned above follows the appointment of Mr. Cesare Bisoni as Chairman of the Board of Directors (September 20, 2019) in place of Mr. Fabrizio Saccomanni and the resignation of Ms. Martha Böckenfeld (September 18, 2019).
Chairman Bisoni remains member pro tempore of the Corporate Governance, Nomination and Sustainability Committee, so that he can play an active role in the process for selecting two Non-Executive Directors in place of Mr. Saccomanni and Ms. Böckenfeld. Once the process is completed, Mr. Bisoni will step down from the Committee and a new member will be selected.

UniCredit oggi annuncia che il Consiglio di Amministrazione - con il supporto del Comitato Corporate Governance, Nomination and Sustainability – ha nominato (i) il consigliere Lamberto Andreotti Vice Presidente del Consiglio di Amministrazione, (ii) il consigliere Maria Pierdicchi Presidente del Comitato Parti Correlate e (iii) il consigliere Francesca Tondi membro del Comitato Controlli Interni & Rischi.
La summenzionata decisione è stata adottata a seguito della nomina del Sig. Cesare Bisoni a Presidente del Consiglio di Amministrazione (20 settembre 2019) in luogo del Sig. Fabrizio Saccomanni e delle dimissioni della Sig.ra Martha Böckenfeld (18 settembre 2019).
Il Presidente Bisoni rimane membro pro tempore del Comitato Corporate Governance, Nomination and Sustainability, affinché egli possa svolgere un ruolo attivo nel processo di selezione di due consiglieri non esecutivi in luogo dei Sig.ri Saccomanni e Böckenfeld. Completato il processo, sarà nominato un nuovo membro del predetto Comitato in luogo del Sig. Bisoni.
