ADJUSTMENT TO THE EXISTING SHARE OPTIONS

Reference is made to the prospectus of Uni-Bio Science Group Limited (“Company”) dated 9 September 2013 (“Prospectus”) and the announcement of the Company dated 3 October 2013. Unless otherwise defined herein, capitalised terms used in this announcement shall have the same meanings as those defined in the Prospectus.

As a result of the completion of the Open Offer and the Bonus Issue, adjustment has been made to the exercise price and the number of the Existing Share Options granted under the Share Option Scheme. The adjustments to the exercise price and the number of the Shares falling to be issued under the Existing Share Options effective upon the allotment and issue of the Offer Shares and the Bonus Shares by the Company are as follows:

The Company has appointed an independent financial adviser to certify in writing that the above adjustments are in accordance with the terms of the Share Option Scheme and the supplementary guidance issued by the Stock Exchange on 5 September 2005 regarding the adjustment of share options under Rule 17.03(13) of the Listing Rules. Other terms of the Existing Share Options granted under the Share Option Scheme remain the same.
