INSIDE INFORMATION – STRATEGIC ALLIANCE WITH SAMIL

The announcement is made by Uni-Bio Science Group Limited (the “ Company ”, together with its subsidiaries, the “ Group ”) pursuant to Rule 13.09(2) of the Rules (the “ Listing Rules ”) Governing the Listing of Securities of The Stock Exchange of Hong Kong Limited (the “ Stock Exchange ”) and the Inside Information Provisions (as defined in the Listing Rules).

FORMATION OF STRATEGIC ALLIANCE

The board (the “ Board ”) of directors (the “ Directors ”) of the Company is pleased to announce that after the trading hours of the Stock Exchange on 1 September 2014, Uni-Bioscience Pharm Co., Limited, a wholly-owned subsidiary of the Company, (“ Uni-Bio Pharm ”) entered into a strategic alliance agreement (the “ Agreement ”) with Samil Pharm Co., Limited (“ Samil ”) whereby Samil has appointed Uni-Bio Pharm as its exclusive distributor for certain of Samil’s pharmaceutical products in the mainland of the People’s Republic of China (“ Mainland China ”), the Hong Kong Special Administrative Region and the Macau Special Administrative Region (collectively, the “ Territory ”).

The Board considers that the formation of the strategic alliance with Samil has marked the commencement of the Group’s new partnering model as described in the Company’s annual report for the year ended 31 March 2014 (“ 2013-14 Annual Report ”).

Exclusive Distribution of the Products

Under the Agreement, the products of Samil (“ Products ”) that will be exclusively distributed by the Group in the Territory comprise:

Rhinex Nasal Spray – a second generation synthetic corticosteroid for treatment of seasonal and perennial rhinitis.

Ocucyclo – an anti-cholinergic agent for mydriasis (dilation of pupil) and cycloplegia (paralysis of ciliary muscle) for use in eyesight examination.

Lantanoprost – a prostaglandin analogue for the treatment of open-angle glaucoma and ocular hypertension.

Allenol Eye Drop – possess antihistamine and anticholinergic properties for use in allergic conjunctivitis (eye allergy).

Subject to Samil having obtained all necessary licences and permits for the distribution of the Products in the Territory, in which Samil shall be responsible for most of the cost thereof and that Uni-Bio Pharm shall be responsible for the management of the relevant licensing process, Uni-Bio Pharm will commence to distribute such Products (“ Launch ”) principally in Mainland China. It is expected that the Group will commence such distribution activity in or around 2018.

Uni-Bio Pharm has committed to make minimum purchase from Samil in respect of each of the Products according to the terms of the Agreement after the Launch.

As an exclusive distributor, Uni-Bio Pharm has undertaken to Samil that it will not engage in any manufacturing, sale or distribution of other products which may compete with the Products during the term of the Agreement. The Agreement has an initial term of eight years and unless Uni-Bio Pharm elects otherwise, the Agreement shall automatically renewed for another term of four years, upon the expiry of which, the term of the Agreement shall run for successive terms of two years each, subject to the party’s right to terminate the Agreement in accordance with the Agreement.

In addition, Uni-Bio Pharm shall have the right of first acceptance to distribute Samil’s other products in the Territory. Samil shall only negotiate with other parties after Uni-Bio Pharm’s refusal to take up the right.

INFORMATION ABOUT SAMIL

Samil is a company incorporated in the Republic of Korea with limited liability and an independent third party and is principally engaged in the manufacture and distribution of pharmaceutical products. It is a listed company in the Korea Stock Exchange (Stock Code

000520.KS). Established in 1947, Samil is an ophthalmology-focused pharmaceutical company with a well-established brand in Korea. In 2013, Samil’s annual turnover was USD84 million in Korea.

INFORMATION ABOUT THE GROUP

The Group is principally engaged in the research, development, production and commercialisation of biopharmaceuticals through recombinant DNA and other technologies. The Company is focused on addressing high unmet medical needs in diseases such as diabetes, ophthalmology and dermatology via the development and commercialisation of innovative therapies.

The Group leverages its broad commercial presence in China for its proprietary portfolio of marketed pharmaceutical products and the products of its partners.

As disclosed in the 2013-14 Annual Report, the Group has brought in a new partnering model – partnering with reputable foreign pharmaceutical companies to bring innovative treatments indicated for diseases highly prevalent in the Chinese population into China. Samil and Uni-Bio Pharm have agreed to cooperate in the pharmaceutical and other health care market, including but not limited to marketing and distributing pharmaceutical specialties and other health care products in the Territory. The Board considers that the formation of such strategic alliance has marked the commencement of the Group’s new partnering model.

The Group has identified ophthalmology, dermatology and diabetes as its core strategic therapies. This alliance with Samil is one step in realizing this strategy. On the successful registration of the Products, the Group will increase the ophthalmology products from one to four. The Board believes this will ensure a sustainable and successful position in this therapeutic field. Finally, the additions to the portfolio will diversify sources of sales revenue and improve productivity across multiple functions, including but not restricted to sales and medical teams.
