On April 8, 2011, Under Armour, Inc. (the “Company”) issued a press release announcing that Mark Dowley is transitioning from his role as Executive Vice President of Global Brand and President of International of the Company effective May 1, 2011, at which time he will become an advisor to the Company. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
