Board Change

The Company announces that Alastair Miller, Non-Executive Director, has stepped down from the Board effective immediately.

Gavin Manson is now the Company's sole director. As previously announced, the Company is not currently compliant with the requirement under the Quoted Companies Alliance Corporate Governance Code ("QCA Code", the Company's chosen corporate governance code) for at least two independent non-executive directors. The Company would seek to remedy this situation and reconstitute its board of directors at the time that any Transaction (as defined in the Company's announcement released on 27 July 2023) is completed, in order to ensure compliance with this aspect of the QCA Code.

The Company continues to explore opportunities for a Transaction, albeit these remain at an early stage there can be no certainty that any Transaction will ultimately be completed. Further announcements will be made as appropriate.
