• Sub.: Update on the Scheme of Amalgamation of UltraTech Nathdwara Cement Limited (“UNCL”) (a wholly-owned subsidiary of the Company) and its wholly owned subsidiaries viz. Swiss Merchandise Infrastructure Limited (“SMIL”) and Merit Plaza Limited (“MPL”) (collectively “Transferor Companies”) with the Company (hereinafter referred to as “Scheme” or “Scheme of Amalgamation”) under Section 230 - 232 of the Companies Act, 2013 (“Act”)

• Ref.: Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”)

Dear Sir/ Madam,

We refer to our earlier communication on the subject matter.

We now write to inform you that certified copy of the order of the National Company Law Tribunal (“NCLT”), Kolkata Bench sanctioning the Scheme has been received. The one from the NCLT, Mumbai Bench was received earlier. Both orders have been filed with the Registrar of Companies, Maharashtra, Mumbai and West Bengal and the Scheme has been made effective from 20[th] April, 2024.

The Appointed date of the Scheme is 1[st] April, 2023. All assets and liabilities of UNCL, SMIL and MPL stand transferred to the Company from the Appointed Date and all three companies, viz. UNCL, SMIL and MPL stand dissolved without winding up.
