Sub: Prior intimation regarding issue of Non-Convertible Debentures [“NCDs”] of UltraTech Cement Limited [“the Company”] under Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015

Dear Sirs,

This is in reference to the approval granted by the Board of Directors of the Company at their meeting held on 20[th] May, 2020 to raise funds, by way of issuance of non-convertible debentures (NCDs); foreign currency loan or rupee term loan, or in any other manner, in one or more tranches.

Accordingly, pursuant to the above, the Company is considering a proposal to raise funds by issuance of 10,000 rated, listed, non-convertible, redeemable, unsecured NCDs of Rs. 10,00,000/- each aggregating to Rs. 1,000 crores (rupees one thousand crores only), on private placement basis, including the terms and conditions of the issue, on or after 30[th] December, 2020.
