NOTICE TO SHAREHOLDERS

Distribution of dividends

São Paulo, December 1, 2025 – Ultrapar Participações S.A. informs that the Board of Directors, at the meeting held today, approved the distribution of dividends in the amount of R$ 1,087,307,868.00, equivalent to R$ 1.00 per common share, to be paid from December 16, 2025, onwards, without remuneration or monetary adjustment.

The record date that establishes the right to receive the dividend will be December 05, 2025, in Brazil, and December 12, 2025, in the United States. Therefore, the shares will be traded "ex-dividend" from December 8, 2025, onwards on the São Paulo Stock Exchange (B3), and from December 12, 2025, onwards on the New York Stock Exchange (NYSE).
