Item 8.01 Other Events.

On January 23, 2017, UDR, Inc. issued a press release announcing that it has established an unsecured commercial paper program, pursuant to which it may issue, from time to time, unsecured commercial paper notes up to a maximum aggregate amount outstanding of $500 million. The notes will be fully and unconditionally guaranteed by United Dominion Realty, L.P. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
