TXT completes investment in Artificial Intelligence: closing of minority stake acquisition in Altilia, with options to increase to majority
Milan, 8 September 2025 – 12:00
TXT e-Solutions S.p.A. ("TXT"), a company listed on the STAR Segment of the Italian Stock Exchange organised and managed by Borsa Italiana S.p.A., announces that on 5 September 2025, following the fulfilment of the conditions set out in the agreement and in line with the previously communicated timeline, it has completed the acquisition of a minority stake in Altilia S.r.l. ("Altilia").
The stake, representing approximately 10% of Altilia's share capital, was acquired under the terms disclosed in TXT's press release of 3 July 2025 regarding the signing (link to press release).
As previously announced, the agreement includes options for the progressive acquisition of additional shares in Altilia, which may allow TXT to increase its holding up to 100% of the company's share capital, in line with the Group's external growth strategy.
Founded as a spin-off of the CNR (National Research Council of Italy) and financed and supported in its growth by CDP Venture Capital, Altilia has developed Altilia Intelligent Automation, a no-code AI Smart Solution enabling the automation of complex processes in digital finance, insurance, legal services, and public administration.
Altilia's offering stands out for its ability to integrate NLP, machine learning, and knowledge graph technologies into scalable and transparent solutions. Synergistic integration initiatives are already underway within TXT Group's portfolio of Smart Solutions.
