PRESS RELEASE
TXT: executed closing of the investment in TLogos Srl TLogos strengthens TXT specialized competencies in the cybersecurity segment for the Digital Advisory offering
- TXT e-solutions S.p.A. ("TXT"), following the signing of the investment agreement occurred on November 21st, 2022, today has signed the closing for the acquisition of 100% of the capital of TLogos S.r.l. ("TLogos");
- TLogos, based in Rome, boasts 15 resources, is a digital consulting boutique specialised in cybersecurity with high added value with significant contracts in the main European space projects;
- EBITDA is forecasted at approximately €0.5 million for 2022 (pro-forma) with annual revenues totaling €1.6 million and a significant revenues backlog from acquired projects;
- TXT will consolidate the results of TLogos from December 1 st, 2022.

TXT e-solutions S.p.A. ("TXT"), a company listed on the STAR Segment of the Mercato Telematico Azionario organised and managed by Borsa Italiana S.p.A., informs that today, following the signing of the investment agreement on November 21, 2022, has signed the closing for the acquisition of 100% of the capital of TLogos; TXT will consolidate the results of TLogos from December 1 st, 2022.
As communicated on November 21st, 2022, the investment in TLogos represents a strategic transaction for the consolidation of strong and innovative cybersecurity expertise which will strengthen TXT Group's digital advisory offering in a segment with high growth prospects and high added transversal value inside an increasingly wide range of industries.
