TXT E-SOLUTIONS: RESIGNATION OF A DIRECTOR

Milan, 4 May 2021 – TXT e-solutions S.p.A., announces that on April 27, 2021 the independent and non-executive Director Valentina Cogliati resigned from her role with immediate effect, for personal reasons. Following her resignation, Ms Valentina Cogliati also ceases to be a member of the Risks and Internal Controls Committee and of the Related Parties Committee.

To the best of the Company's knowledge, Ms Valentina Cogliati, at the date of her resignation, does not hold any shares in the Company.

It is also noted that no indemnity or other monetary benefit will be paid following the termination of the office of director has not been agreed.

There is no non-competition agreement between the Company and Ms Valentina Cogliati.
