TXT e-solutions: resignation of a director
Milan, 10 June 2021
TXT e-solutions S.p.A., announces that on June 9, 2021 the independent and nonexecutive Director Fabienne Anne Dejean Schwalbe, by letter to the Board of Directors and to the Chairman of the Board of Statutory Auditors, has irrevocably resigned from her office with immediate effect for personal reasons.
Ms Fabienne Dejean Schwalbe was also a member of the Remuneration Committee.
To the best of the Company's knowledge, at the date of her resignation, Ms Fabienne Dejean Schwalbe does not hold any shares in the Company.
It is also noted that no indemnity or other monetary benefit has been agreed upon between the Company and Fabienne Dejean Schwalbe as a result of her resignation as a director.
Following the resignation of Ms Fabienne Dejean Schwalbe, the necessary procedure was started in order to co-opt a director in accordance with the provisions of the law and the articles of association.
The Company would like to thank Ms Fabienne Dejean Schwalbe for her decisive contribution during the six years at the management of the Group, transforming it into a global leader in the supply of software products and strategic solutions in the Aerospace and Fintech sectors.
