Item 8.01. Other Events.

As previously announced, in connection with its public offering (the “Offering”), TXO Partners, L.P. (the “Partnership”) granted the underwriters of its Offering a 30-day option to purchase additional common units representing limited partner interests in TXO (the “common units”). On May 19, 2025, the Partnership consummated the sale of an additional 1,750,000 common units at the Offering price of $15.00 per common unit, less underwriting discounts and commissions, resulting in additional net proceeds of approximately $23.9 million.

A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Item 8.01 by reference.
