NOTICE OF POSTAL BALLOT

Notice is hereby given that pursuant to the pravisions of section 108, 110 and other applicable provisions, if any, of the Companies Act, 2013 (""the Act"") read with Rule 20 and Rule 22 of Companies (Management and Administration) Rules, 2014, the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), Secretarial Standard - 2 on General Meetings issued by The Institute of the Company Secretaries of India and in accordance with the guidelines prescribed by the Ministry of Corporate Affairs ("MCA") vide General Circular No. 09/2024 dated September 19, 2024 read with General Circular Nos. 14/2020 dated April 8, 2020, 17/2020 dated April 13, 2020, 22/2020 dated June 15, 2020, 33/2020 dated September 28, 2020, 39/2020 dated December 31, 2020, 10/2021 dated June 23, 2021, 20/2021 dated December 08, 2021, 03/2022 dated May 05, 2022, 11/2022 dated December 28, 2022 and 09/2023 dated September 25, 2023 (hereinafter collectively referred to as the ("Relevant Circulars") and any other applicable laws, rules and regulations, if any, approval of the members of T.V. Today Network Limited ("the Company") is sought through Postal Ballot only by way of
electronic means ("remote e-vating"), in relation to the resolution as set aut in the Postal Ballot Notice ("Notice") dated February 21, 2025.

The detailed explanatory statement under Section 102 of the Act setting out the material facts concerning the resolution, forms part of the Notice.

The Notice alongwith explanatory statement is available on the Company's website at https://ac/tok.in/investor/, websites of the Stock Exchanges i.e. BSE Limited and National Stock Exchange of India Limited ("NSE") at www.bseindia.com and www.nseindia.com respectively, and on the website of NSDL at https://www.evoting.nsdl.com and also at the website of our RTA at https://www.mcsregistrars.com/

Members are hereby informed that:

• 1. The Company has completed the dispatch of Notice through e-mails to the members on Monday, February 24, 2025;
• $\overline{2}$ The cut-off date for the purpose of ascertaining the eligibility of members to avail remote e-voting facility is Friday, February 21, 2025. The members whose name is recorded in the register of members of the Company or in the register of beneficial owners maintained by the depositories as on the cut-off date shall only be entitled to avail the remote e-voting facility. A person who is not a member as on the cut-off date should treat this notice for information purposes only;
• In compliance with the requirements of the Relevant Circulars, hard copy of $\mathcal{R}$ Notice, Postal Ballot Form and pre-paid business reply envelope have not been sent to the members for this Postal Ballot. Members are required to communicate their assent or dissent only through the remote e-voting system. The Company has engaged NSDL to provide e-voting facility for its Members;
• 1. The detailed procedure/instructions on the process of remote e-voting including the manner in which the members who have not yet registered their email addresses can register their email address and/or can cast their vote, are specified in the Notice:
• $\mathcal{B}_{\mathcal{L}}$ The remote e-voting period will commence on Tuesday, February 25, 2025 at 09:00 a.m. (IST) and shall end on Wednesday, March 26, 2025 of 05:00 p.m. (IST). The remote e-voting module shall be disabled thereafter. Once the vote on a resolution is cast by a member, no change will be allowed subsequently;
• Mr. Nitesh Latwal (C.P 16276), Practicing Company Secretary and Partner of M/s Pl 6. 6 Associates, New Delhi has been appointed as Scrutinizer for conducting the Postal Ballot through remote e-voting process in a fair and transparent manner.
• 1. The result of the Postal Ballat will be announced by Friday, March 28, 2025. The result along with Scrutinizer Report, will be displayed at the Registered office & Corporate Office of the Company and will also be hosted at the Company's website at https://aajtak.in/investor/ and the website of NSDL at the earliest after the result is declared. The results shall be simultaneously communicated to the Stock Exchanges where the securities of the Company are listed.

सदस्यों को एतदड़ारा सुवित किया जाता है कि:

1. कंपनी ने सोमवार, 24 फरवरी, 2025 को सदस्यों को ई-मेल द्वारा सूचना भेज दी है।

2. रिपोट ई-वॉटिंग सुविधा का लाम उठाने वाले सदस्यों की पात्रता सुनिश्चित करने की कट-ऑफ तिथि शुक्रवार, 21 फरवरी, 2025 है। मौतिक या अमौतिक रूप में शेयर धारक सदस्य और जिनका नाम केवल कट-ऑफ शिथि तक सदस्यों के रजिस्टर में दर्ज है या किपॉलिटरी द्वारा प्रबंधित डितापिकारी स्वामियों के संजिस्टर में दर्ज है, उन्हें ही रिमोट ई-वोटिंग सुविधा का लाभ सताने का हक होगा। एक व्यक्ति जो कट-ऑफ तिथि के अनुसार सदस्य नहीं है, वह इस सूचना को केवल जानकारी समझे।

3. प्रासमिक परिपत्रों की औपनारिकताओं का अनुपालन करते हुए, इस पोस्टल बैलेट के लिए पोस्टल बैलेट फॉर्म और ग्री-पेड बिजनेस रिप्लाई एन्बोलॉय के साथ सूचना की हार्द काँपी सदस्यों को नहीं मेजी जाएगी और सदस्य अपनी सहमति या असहमति को केवल
   रिमोट ई-वोटिंग सिस्टम के माध्यम से मेज सकते हैं। इस उद्देश्य के लिए कपनी ने रिमोट ई-बोटिंग सुकिस सपलबा करने के लिए नैशनल सिकारेरिटीज विपोजिटरी लिमिटेड की सेवाए प्राप्त की हैं।

4. रिमोट ई-बोटिंग की प्रक्रिया पर विस्तृत पद्धति/निर्देश और अभी तक ई-मेल पत्ते को
   रजिस्टर नहीं करने वाले सदस्यों के लिए अपने ई-मेल पत्ते को रजिस्टर करने के निर्देश और/या अपने मत देने के निर्देश इस सूचना में निर्दिष्ट हैं।

5. स्मिोट ई-चोटिंग अवधि मंगलवार, 25 फरवरी, 2025 को सुबह 9.00 बजे (मारतीय
   भानक समय) से आरंग होगी और बुचवार, 26 मार्च, 2025 को शाम 5.00 बजे (मारतीय
   मानक समय) समाप्त होगी। इसके पश्चात रिमोट ई-चोटिंग मॉडवूल वोटिंग के लिए निष् कर दिया जाएगा और इलेक्ट्रॉनिक माध्यम से बोटिंग की अनुमति नहीं दी जाएगी। परताव पर एक बार मत देने के तत्पश्चात शदस्य अपना मत बदल नहीं पाएंगे।

6. पीआई एंड एसोसिएट्स के सहभानी एवं कंपनी सेक्रेटरी, श्री निवेश लटवाल (सीपी सं. 16276) को रिमोट ई-वॉटिंग प्रक्रिया के माध्यम से निष्पक्ष और पाददर्शी तरीके से पोस्टल बैलेट आयोजित करने के लिए स्कूटिनाइज़र के रूप में नियुक्त किया गया है।

7. पोस्टल बैलेट का परिणाम शुक्रवार, 28 मार्च 2025 तक मोथित कर दिया जाएगा। स्कृटिनाइजर रिपोट के साथ परिणाम, कपनी के पंजीकृत कार्यालय और कॉरपोरेट कार्यालय में
   प्रदर्शित किया जाएगा और कंपनी की वेबसाइट यानी https://aajtak.evinvestor और एनएसडीएल की ई-वोटिंग वेबसाइट यांनी www.evoling.nedl.com पर मी उपलब्ध होगा।
   साथ-साथ परिणाम को उन स्टॉक एक्सबेंजों को भी सूचित किया जाएगा जहां कंपनी के शेयर सुवीबद्ध है।
