Subject: Intimation under Regulation 30 and all other applicable regulations of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 - Conversion of OCDs into Equity Shares of TVS Srichakra Investments Limited.

We refer to our earlier letter dated 7th February, 2016, wherein we have informed that the Company had acquired 3,45,900 unsecured optionally convertible debentures (OCOs) of Rs. 1 000/- each of TVS Srichakra Investments Ltd, a wholly owned subsidiary of the Company, by way of converting unsecured loan into OCOs and subscribing to 1,00,000 OCOs of Rs.1 000/- each through fresh issue of OCOs.

In this connection, we wish to inform you that, pursuant to the terms of the issue, the above OCOs, together with interest accrued in the books, are being converted into 40,42,092 equity shares of Rs.122.69 each (Rs.1 0/- face value and Rs.112.69 as securities premium), in two tranches i.e. 7th January 2021 and 15th February 2021.
