Sub: Outcome of Board Meeting held on 11.6.2020

We wish to inform that the Board of Directors at their meeting held today (11.6.2020),

• a) based on the recommendation of the Nomination and Remuneration Committee and in accordance with the applicable provisions of the Companies Act 2013 and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, have re-appointed

• Mr R. Naresh as Managing Director (Designated as Executive Vice Chairman) of the company for a further period of three (3) years with effect from 16[th] June,2020

• Ms. Shobhana Ramachandhran as Managing Director of the Company, for a further period of five (5) years from 25[th] August, 2020

• subject to the approval of the shareholders through postal ballot, by way of e-voting only

• b) approved, inter alia, the proposal to seek the consent of shareholders, by way of special resolutions / ordinary resolution, through Postal Ballot by way of evoting only, in terms of Section 110 of the Companies Act, 2013 (the Act) read with Companies (Management and Administration) Rules 2014 for

• re-appointment of Mr R. Naresh as Managing Director (Designated as Executive Vice Chairman) for a further period of three (3) years from 16.6.2020,

• re-appointment of Ms. Shobhana Ramachandhran as Managing Director for a further period of five (5) years from 25[th] August, 2020 and

• Appointment of Mrs. S.V. Mathangi as an Independent Director for a period of three (3) years from 1[st] April, 2020

of the Company

In terms of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we will arrange to send copies of the Postal Ballot Notice to you for your information and records.
