Securities and Exchange Board India (SEBI) by circular number SEBI/HO/MIRSD_RTAMB/P/CIR/2022/8 dated January 25, 2022 has mandated that listed companies shall henceforth issue securities in • dematerialized form only, while processing requests for inter-alia issue of duplicate securities certificate, renewal/exchange of securities certificate, endorsement, sub-division/splitting of securities certificate, consolidation of securities certificates/folios, transmission and transposition. The circular further mandates that RT A/Issuer companies shall after verifying and processing the requests, issue a 'Letter of confirmation' in lieu of physical securities certificate(s) to the securities holder / claimant within 30 days of the receipt of such requests after removing objections, if any.

Accordingly, on the basis of examination of all relevant registers, process sheets, documents and papers of M/s. TVS SRICHAKRA LIMITED ('the Company') having its registered office at TVS Building, 7-B West Veli Street, Madurai 625 001, made available to us through its Registrars and Transfer Agents, Integrated Registry Management Services Private Limited, Registrar and Share Transfer Agents ('RTA'), having its registered office at 2 nd Floor Kences Towers, 1 Ramakrishna Street, North Usman Road, T Nagar, Chennai 600017 for the purpose of issuing the Certificate under Regulation 40(9) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and on the basis of information and explanations furnished to us, which to the best of our knowledge and belief was necessary for the certification, we hereby certify that the Company, through its Registrars and Transfer Agents, Integrated Registry Management Services Private Limited, during the period from 1st April 2023 to 31st March 2024,

1. has issued letters of confirmation in respect of requests relating to share transmission, consolidation, duplicate and correction/ change of name, within the stipulated time as specified in the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, excepting those rejected on technical grounds, and

2. has not received any request for share transfer, sub-division, renewal, exchange, endorsement of calls and allotment monies.
