Item 5.02 - Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On November 15, 2017, Joseph Cleary, the Chief Accounting Officer of Turtle Beach Corporation (the “Company”), tendered his resignation, effective December 15, 2017, in order to accept a senior executive position at another company. The Company currently intends to replace Mr. Cleary and has implemented a process to evaluate potential candidates.
