Reference: VakıfBank Public Disclosure dated December 6th, 2023 It was announced with the referred disclosure that the Head Office is authorized by the Board of Directors on the meeting that was held on 30.11.2023 to apply to Banking Regulation and Supervision Agency and the Capital Markets Board and obtain approvals in order to issue private placements, eurobonds and capital debt instruments (sub-debts) to be included in the equity calculation in all currencies up to USD 5 billion and accordingly, the applications were made to the CMB and the BRSA for the renewal of the issuance certificate which allows the international issuances of private placements, eurobonds and subordinated bonds, equivalent to USD 5 billion and valid for one year. VakıfBank's application was approved in Capital Markets Board meeting, dated February 29th, 2024 and VakıfBank is authorized to issue eurobond and similar debt instruments in abroad up to USD 5 billion equivalent in TL or foreign currencies. Capital Market Board's approval is enclosed herewith. Please be informed that the enclosed document is in Turkish only. According to CMB legislation, in case of a contradiction between the Turkish and English versions of this public disclosure, the Turkish version shall prevail.
