PRE-QUOTATION DISCLOSURE

Tungsten Mining NL was admitted to the Official List of ASX Limited on Thursday, 13 December 2012.

Official Quotation of the Company’s securities will commence at 2:00pm E.D.S.T (11:00am W.S.T.) on Monday, 17 December 2012.

The following information is released as pre-quotation disclosure.

  1. A distribution schedule of the numbers of holders in each class of security to be quoted in the form contained in Appendix 1A, paragraph 48.

  2. A statement setting out the names of the 20 largest holders of each class of securities to be quoted, including the number and percentage of each class of securities held by those holders.

  3. A statement setting out the number of securities subject to escrow and the escrow period applied to those securities.

  4. Audited annual report for the year ended 30 June 2012.

  5. An updated pro-forma balance sheet based on the actual amount of funds raised under the Prospectus.

  6. An updated statement of commitments based on the actual amount of funds raised under the Prospectus.

  1. A securities trading policy that complies with the requirements of listing rule 12.12.

  2. A statement disclosing the extent to which the Company will follow, as at the date of admission to the official list, the recommendations set by the ASX Corporate Governance Council. If the Company does not intend to follow all of the recommendations on admission to the official list, the Company must identify those recommendations that will not be followed and the reasons for not following them.

  3. A statement confirming completion of the following.

  4. 9.1 The SM3-W Sale Agreement, including the payment of $200,000 and the issue of 4,000,000 fully paid ordinary shares in the Company to SM3.

  5. 9.2 The Minerals Right Agreement, including the payment of $100,000 and the issue of 4,000,000 fully paid ordinary shares in the Company to Northern Minerals.

  6. 9.3 The BRL Sale Agreement, including the payment of $5,000 into a trust on behalf of the Vendors and the issue of 8,000,000 fully paid ordinary shares in the Company to the Vendors.

  7. 9.4 The MWYN Agreement, including the payment of $39,000 and the issue of 150,000 fully paid ordinary shares in the Company to MWYN.

  8. 9.5 The Richmond Agreement, including the issue of 2,000,000 fully paid ordinary shares in the Company to Richmond.

  9. 9.6 The Data Agreement, including the issue of 500,000 fully paid ordinary shares in the Company to Magnetic.

  10. 9.7 The Emu Data Agreement, including the issue of 500,000 fully paid ordinary shares in the Company to Emu (or its nominee).
