Re: Final Short Form Prospectus of Tuktu Resources Ltd. (the "Issuer")

We refer you to the final short form prospectus (the " Prospectus ") of the Issuer dated November 18, 2024 relating to the issuance of units of the Issuer (the " Offered Units ”) at a price of $0.09 per Offered Unit for aggregate gross proceeds of up to $10.0 million, each Offered Unit comprising of one (1) common shares in the capital of the Issuer (each, a " Common Share ") and one-half of one (1/2) Common Share purchase warrant.
