Additional Explanations

Based on our Company's decision dated 08.10.2024;

Within the scope of the provisions of Article 5.5 (b) of the Capital Markets Board's Communiqué on Buyback Shares (II-22.1), since the price of our Company's shares traded on Borsa Istanbul does not reflect the actual performance of our Company's activities, it has been unanimously decided that the Share Buyback Program initiated in order to protect shareholders and contribute to healthy price formation will be terminated as of 07.04.2025 (today), that a statement will be made on the Public Disclosure Platform regarding the share buyback transactions, that it will be included in the agenda of our Company's first General Assembly meeting and presented to the shareholders for information, and that a total of TUKAS shares with a nominal value of 112,500,000 TL were bought back by our Company within the share buyback program, and the ratio of the buyback shares to the capital was realized as 0.055%.
