Yönetim Kurulu 13.08.2025 tarihli toplantısında, Sermaye Piyasası Kurulu'nun II-17.1 sayılı Kurumsal Yönetim Tebliği kapsamında Şirketimiz ile Cem Zeytin A.Ş. arasındaki ürün alım satımına ilişkin olarak hazırlanan "Yaygın ve Süreklilik Arz Eden İlişkili Taraf İşlemlerine İlişkin Rapor"u onaylamıştır. Raporun sonuç bölümü aşağıda yer almaktadır.

"Sermaye Piyasası Kurulu'nun II-17.1 sayılı Kurumsal Yönetim Tebliği'nin (Tebliğ) 10. maddesine istinaden, Şirketimizin Cem Zeytin A.Ş ile yaygın ve süreklilik arz eden işlemlerinin, 2025 yılı hesap döneminde gerçekleşecek tutarının, kamuya açıklanan 2024 yılı finansal tablolarımızda oluşan satışların maliyeti tutarına oranın %10'u aşması öngörülmekte olup, işbu raporda; Cem Zeytin A.Ş. ile 2024 yılında yapılan ve 2025 içerisinde benzer koşullarla devam ettirilmesi öngörülen işlemlerin koşulları, fiyat belirleme yöntemi ve bu yöntemin seçilmesindeki gerekçeler açıklanarak, işlemlerin piyasa koşullarına uygunluğu hakkında bilgi sunulmuştur."

At its meeting held on August 13, 2025, the Board of Directors approved the "Report on Widespread and Continuous Related Party Transactions," prepared in accordance with the Capital Markets Board's Corporate Governance Communiqué No. II-17.1 regarding the product purchase and sale between our Company and Cem Zeytin A.Ş. The conclusion of the report is provided below.

"Pursuant to Article 10 of the Capital Markets Board's Communiqué on Corporate Governance numbered II-17.1 (the Communiqué), it is anticipated that the ratio of the amount of our Company's widespread and continuous transactions with Cem Zeytin A.Ş. to be realized in the 2025 accounting period to the cost of sales in our 2024 financial statements disclosed to the public will exceed 10%. This report explains the conditions, price determination method, and the reasons for choosing this method for the transactions conducted with Cem Zeytin A.Ş. in 2024 and planned to be continued under similar conditions in 2025, and provides information on the suitability of the transactions to market conditions."
