David Teoh, Vicky Teoh and their associated entities (as listed in Annexure A) (together, the Teoh Group ) have voting power in TPG Australia that is greater than 20%, and accordingly, until the implementation of the demerger of Tuas from TPG Australia, each member of the Teoh Group has a deemed relevant interest in the relevant interests of TPG Australia in Tuas pursuant to section 608(3)(a) of the Corporations Act (Cth). As registered holders of shares in TPG Australia, David Teoh, TSH Holdings Pty Ltd, TSH Holdings No 1 Pty Ltd, TSH Holdings No 2 Pty Ltd, Vicky Teoh, Victoria Holdings Pty Ltd, Victoria Holdings No 1 Pty Ltd, Victoria Holdings No 2 Pty Ltd, Victoria Holdings No 3 Pty Ltd and Total Peripherals Superannuation Fund have an enforceable right to become the registered holder of (in aggregate) 159,157,807 of those shares under an in-specie dividend which was declared by TPG Australia on Friday 26 June 2020). Simba SG Pty Ltd acquired 6,637,766 ordinary shares on-market on 2 July 2020.
