Publication of circular and notice of general meeting

On 19 July 2017, the Company announced that it had entered into a conditional agreement for the sale of its Transportation Sensing and Control division to AVX Corporation, through its subsidiary AVX Limited, for a cash consideration of £118.8 million on a cash free, debt free basis (the 'Disposal').

The Company is pleased to announce that a circular to shareholders relating to the Disposal (the 'Circular') has been published today. The Circular and the accompanying form of proxy will shortly be sent to the Company's shareholders. The Circular will also today be available for viewing on the Company's website (www.ttelectronics.com). 

The Circular, which has been approved by the UK Listing Authority, contains a notice convening a general meeting of the Company to be held at 10.30 a.m. on 10 August 2017 at the offices of Allen & Overy LLP at One Bishops Square, London, E1 6AD (the 'General Meeting'). Completion of the Disposal remains conditional on, amongst other things, the approval of the Company's shareholders at the General Meeting.

A copy of the Circular has been submitted to the National Storage Mechanism and will shortly be available for inspection at www.morningstar.co.uk/uk/NSM. In addition, the Circular will be available for inspection during normal business hours on any weekday (Saturdays, Sundays and public holidays excepted) at the registered offices of the Company at Fourth Floor, St Andrews House, West Street, Woking, Surrey, GU21 6EB and at the offices of Allen & Overy LLP at One Bishops Square, London, E1 6AD from the date of the Circular up to and including the date of the General Meeting and for the duration of the General Meeting.
