Item 8.01. Other Events.

Effective March 11, 2016, the Board of Directors of Trustmark Corporation (the “Company”) authorized a stock repurchase program under which $100,000,000 of its outstanding common shares may be acquired through March 31, 2019.

The shares may be purchased from time to time at prevailing market prices, through open market or privately negotiated transactions, depending on market conditions. There is no guarantee as to the number of shares that may be repurchased by the Company, and the Company may discontinue purchases at any time at management’s discretion. As of March 10, 2016, the Company had approximately 67.6 million shares outstanding.
