Item 1.01 Entry into a Material Definitive Agreement.

On March 18, 2016, Trupanion, Inc. (the “Company”) entered into the Ninth Amendment to the Amended and Restated Loan and Security Agreement (the “Existing Loan Agreement”), by and among the Company, Square 1 Bank and Trupanion Managers USA, Inc., which, among other things, revised the Existing Loan Agreement to reflect the Company’s WICL Segregated Account and to include revised financial covenants.

The Company expects to file the Ninth Amendment as an exhibit to its Form 10-Q for the quarter ended March 31, 2016.
