Item 7.01 Regulation FD Disclosure.

On May 24, 2021, the Company announced that its Board of Directors has increased the maximum value of the shares of its common stock that may be repurchased under its previously-announced share repurchase program from $75 million to $150 million. The Board’s action did not affect the authorization’s previously-scheduled expiration on September 30, 2022 or the fact that it does not obligate the Company to repurchase any dollar amount of its shares.
