SHARE PURCHASE PLAN CLEANSING NOTICE

11 JUNE, 2021

This notice is given by Duke Exploration Limited ACN 119 421 868 (ASX:DEX) ( Company ). The Company gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Act ) that:

• (a) The Company intends to issue ordinary shares without disclosure to investors under Part 6D.2 of the Act and without a prospectus for the ordinary shares being prepared.

• (b) As a disclosing entity, the Company is subject to regular reporting and disclosure obligations.

• (c) As at the date of this notice:

• a. The Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company;

• b. The Company has complied with section 674 of the Act as it applies to the Company; and

• c. There is no “excluded information” within the meaning of sections 708A(7) and 708A(8) of the Act which is required to be disclosed under section 708A(6)(e) of the Act.

This notice is given in accordance with CO 2019/547 and in particular, paragraph 7(f)(ii) of CO 2019/547 which requires that the Company gives this notice to ASX within the 24 hours period before the SPP offer.
