Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 5, 2024, after nearly 20 years of service, Charles P. Huffman informed the Board of Directors (the “Board”) of Computer Programs and Systems, Inc. (the “Company”) of his intention to step down from the Board, effective as of the Company’s 2024 Annual Meeting of Stockholders, which is expected to be held in May 2024. As such, the Board has determined to reduce the size of the Board from eight (8) to seven (7) directors, effective as of the 2024 Annual Meeting of Stockholders. Mr. Huffman’s decision to step down from the Board is not the result of any dispute or disagreement with the Company or its Board.
