  1. To approve on a non-binding advisory basis the compensation of the Company’s named executive officers (“NEOs”);

  2. To hold a non-binding advisory vote on the frequency of future advisory votes on executive compensation;

  3. To ratify the appointment of Grant Thornton LLP as the Company’s independent registered public accountants for the year ending December 31, 2023; and

  4. The transaction of such other business as may properly come before the meeting.
