Ref: Composite Scheme of Arrangement amongst Triveni Engineering and Industries Limited (the Company), Sir Shadi Lal Enterprises Limited (SSEL) and Triveni Power Transmission Limited (TPTL), and their respective shareholders and creditors pursuant to the provisions of Sections 230 to 232 of the Companies Act, 2013 (“Scheme”).

In furtherance to our earlier disclosures dated May 14, 2026 and May 19, 2026 and in compliance with Regulation 30 of the SEBI (LODR) Regulations, 2015, this is to inform you that the captioned Scheme, as sanctioned by the Hon’ble National Company Law Tribunal Allahabad Bench vide Orders dated May 7, 2026 and May 18, 2026 (NCLT Orders) has been made effective today viz. May 19, 2026 upon filing of the certified copies of the NCTL Orders by the respective companies with the concerned Registrar of Companies on May 19, 2026 (“Effective Date”). The process of filing of Form No INC 28 with the Registrar of Companies was completed today at around 6:45 p.m.
