Publication of Circular

The Company has issued a circular (the "Circular") in connection with proposals for:

·      the reduction of capital and cancellation and repayment of the Ordinary Shares (further to the Company's previously stated intention to realise its ordinary share class investments and return funds to the Ordinary Shareholders as soon as practicable after the end of the 5 year holding period);

·      the amendment of the Existing Articles for the C Ordinary Shareholders, the D Ordinary Shareholders and the E Ordinary Shareholders;

·      the cancellation of the Company's share premium account relating to the C Ordinary Shares and D Ordinary Shares; and

·      the cancellation of the Company's capital redemption reserve.

Full details of these proposals are set out in the Circular and are conditional upon the approval of the Company's shareholders at a general meeting and at class meetings to be held on 10 January 2019.
