Issue of Equity and Total Voting Rights

The Directors of Triple Point Income VCT plc (the "Company") are pleased to announce the allotment of 174,825 D Ordinary Shares of 1p each at a price of 105.820p on 11 May 2015 pursuant to the offer for subscription set out in a prospectus issued by the Company on 29 October 2014 (the "Offer") to be admitted to the Official List.

Admission is expected to be effective on or around 25 May 2015.

As a consequence of this allotment the issued share capital and total voting rights of the Company is now 51,749,310:

5,131,353 A Ordinary Shares

19,474,883 Ordinary Shares

13,441,438 C Ordinary Shares

13,701,636 D Ordinary Shares
