Triple Point Income VCT plc ("the Company")

At the General Meeting of the above named Company convened and held at 18 St. Swithin's Lane, London EC4N 8AD on Wednesday 16 December 2015, the following Resolution was passed as a Special Resolution:-

1. That, subject to the sanction of the High Court, the amount standing to the credit of the Company's share premium account and capital redemption reserve as at 5 April 2014, be cancelled.
