In pursuance to Regulation 25 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and in terms of the provision of Section 149 of the Companies Act, 2013 (‘Act’) read with Schedule IV of the Act, a separate meeting of the Independent Directors of the company was held today Wednesday, 29[th] March 2023 at 3.00 p.m. at 4[th] Floor, Sambava Chambers, Sir P. M. Road, Fort, Mumbai: 400001, wherein, the following items in agenda were considered and discussed:

1. Review the performance of Non-Independent Directors and the Board of Directors which was found to be satisfactory.

2. Review the performance of the Chairperson and non-executive directors of the company was found to be satisfactory.

3. Evaluated the Quantity, Quality, and timeliness of the flow of information between the company management and the Board in line with the requirements of Regulation 25 of SEBI (LODR) Regulation, 2015 read with applicable provision of Schedule IV of the Companies Act 2013 which was found satisfactory.

The meeting commenced at 3.00 pm and ended at 3.55 p.m.
