EXPLANATORY NOTE

On November 21, 2023 the Company received notice (the “Notice”) from the Nasdaq Stock Market LLC (“Nasdaq”) that the Company is not in compliance with the minimum market value of publicly held shares ("MVPHS") requirement set forth in the Nasdaq Listing Rules. A copy of the press release providing notice of the receipt of the Notice is filed herewith as Exhibit 99.1.
