Sub.: Updates of Board Meeting – November 13, 2019

Dear Sirs,

With reference to the above mentioned subject we are in receipt of query from National Stock Exchange of India Limited (NSE) with respect to announcement submitted to the Exchange’s dated Nov 13, 2019, regarding Appointment of CEO & Director of the Company. Hence, below are the clarifications for the same.

1. Date of appointment/cessation (as applicable)

The Board of Directors at the scheduled meeting on November 13, 2019 discussed about initiating the appointment procedure of CEO and Director of the Company, Mr. Dilip Hanumara who is the relative of the promoter directors. In this respect the date of commencement of appointment will be from December 1, 2019 for an initial period of 5 (Five) years.

2. Term of appointment

Upon securing the necessary approvals the terms of appointment will be finalised and notified to the exchanges.

Further, Regulation 30 of SEBI (LODR) Regulations, 2015 mandates the listed entities to make disclosures of any events or information which, in the opinion of the Board of Directors of the listed company, is material and under this pretext the announcement dated Nov 13, 2019 was made and the present intimation is update on the same.
