Sub: Outcome of the mee�ng of Board of Directors

In terms of the Regula�on 30 and other applicable provisions of SEBI (Lis�ng Obliga�ons and Disclosures Requirements) Regula�ons, 2015, we would like to inform you that the Board in its mee�ng held today i.e. May 15, 2021 (from 11:30 AM to 2:50 PM), considered and approved the following:

1. Audited Financial Results (Standalone & Consolidated) of the Company for the quarter and Financial Year ended March 31, 2021.

2. The Board of Directors has recommended a final dividend of 36 % (INR 0.36/- per Equity Share of Re. 1/- each) for the financial year 2020-21. The said final dividend, if declared, will be credited/ dispatched to the shareholders within 30 days from the date of declara�on by the shareholders in the ensuing Annual General Mee�ng.

3. The Board of Directors had approved the resolu�on for raising of funds and further recommended enabling resolu�on for approval of shareholders:

4. i. For an amount not exceeding INR 600 Crore by issue of Non-Conver�ble Debentures by way of public or private offering, in one or more tranches.

5. ii. For an amount not exceeding INR 500 Crore by issue of equity shares, non conver�ble debt instruments along with warrants, conver�ble debt instruments, conver�ble securi�es other than warrants or foreign currency conver�ble bonds and or such other securi�es, as may be permi�ed, by way of a public or private offering, including Qualified Ins�tu�ons Placement or any combina�on thereof, or any other method as may be permi�ed under applicable law, in one or more tranches, subject to such regulatory/ statutory approvals, as may be required.
