Sub: Outcome of the meeng of Board of Directors

In terms of the Regulaon 30 and other applicable provisions of SEBI (Lisng Obligaons and Disclosures Requirements) Regulaons, 2015, we would like to inform you that the Board in its meeng held today i.e. May 15, 2021 (from 11:30 AM to 2:50 PM), considered and approved the following:

• 1. Audited Financial Results (Standalone & Consolidated) of the Company for the quarter and Financial Year ended March 31, 2021.
• 1. The Board of Directors has recommended a final dividend of 36 % (INR 0.36/- per Equity Share of Re. 1/- each) for the financial year 2020-21. The said final dividend, if declared, will be credited/ dispatched to the shareholders within 30 days from the date of declaraon by the shareholders in the ensuing Annual General Meeng.
• 1. The Board of Directors had approved the resoluon for raising of funds and further recommended enabling resoluon for approval of shareholders:
  • i. For an amount not exceeding INR 600 Crore by issue of Non-Converble Debentures by way of public or private offering, in one or more tranches.
  • ii. For an amount not exceeding INR 500 Crore by issue of equity shares, non converble debt instruments along with warrants, converble debt instruments, converble securies other than warrants or foreign currency converble bonds and or such other securies, as may be permied, by way of a public or private offering, including Qualified Instuons Placement or any combinaon thereof, or any other method as may be permied under applicable law, in one or more tranches, subject to such regulatory/ statutory approvals, as may be required.
