Sub: Intimation under the Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015
The Board of Directors of the Company in their meeting held today i.e. August 3, 2019 has approved the following:

Resignation of Mr Manish Prasad (DIN:02591756), Additional Director (Non-Executive Non Independent) of the Company with an immediate effect; and

Appointment of Mr Amandeep (DIN:00226905) as an Additional Director (Non-Executive Non Independent) of the Company we.f August 3, 2019. It is hereby confirmed that he is not debarred from holding office in the capacity of the director by virtue of any SEBI Order or any other authority. Further, Mr Amandeep will be designated as Managing Director of the Company w.e.f September 5, 2019; and
-
Change in designation of Mr Deepak Nanda (DIN:00403335) from Managing Director to Whole Time Director of the Company w.e.f. September 5, 2019; and
-
Subject to the approval of Shareholders in the ensuing Annual General Meeting, the Company has proposed to amend the Articles of Association ('AOA') of the Company to bring the same in conformity with the amended laws & regulations.
The requisite information pursuant to SEBI Circular no. CIR/CFD/CMD/4/2015 dated September 9, 2015 for the aforesaid changes under point no 1, 2 & 3 are annexed as Annexure- I and II .
