Director/PDMR Shareholding

On 16 March 2015, options granted in 2012 under the Tribal Group Long Term Incentive Plan vested following the satisfaction of certain performance criteria. In total, options over 1,066,429 shares of 5p each in the Company ("Ordinary Shares") vested, representing approximately 45.7% of the Ordinary Shares over which options were granted in 2012. Following this vesting, on 31 March 2015, the options held by Chief Executive Keith Evans and Group Finance Director Steve Breach were exercised, pursuant to which Mr. Evans and Mr. Breach received 492,899 Ordinary Shares and 345,030 Ordinary Shares, respectively.

On 31 March 2015 Mr. Evans sold 362,281 Ordinary Shares at a price of 150.24p per Ordinary Share and Mr. Breach sold 331,208 Ordinary Shares, including 77,611 held by his spouse, at a price of 150.24p. Furthermore, Mr. Breach sold 36,881 Ordinary Shares held in an ISA at a price of 147.00p per Ordinary Share.

Following the option exercise and the subsequent transactions, Mr. Evans holds a total of 665,440 Ordinary Shares, representing 0.70% of the Company's issued share capital, and Mr. Breach holds a total of 254,024 Ordinary Shares, representing 0.27% of Tribal's issued share capital.
