TRES-OR ANNOUNCES AMENDMENT TO FONTANA PROPERTY OPTION PAYMENT SCHEDULE

Vancouver, B.C. – January 30, 2020 - Tres-Or Resources Ltd. (Tres-Or or the “ Company ”) ( TSXV: TRS, OTCPK: TRSFF ) announces that it has amended the 2019 property payment schedule on the Fontana Gold Project, Quebec. Tres-Or and Globex Mining Enterprises Inc. (“Globex”) entered into the Fontana Property Option Agreement dated June 16, 2019 (refer to news release dated July 9, 2019), whereby Tres-Or was required to pay Globex a cash payment for the sum of $100,000 (the “Payment”) on the closing of the Tres-Or financing which final acceptance by the TSX Venture Exchange was received on December 3, 2019.

Tres-Or entered into an amending agreement (“First Amending Agreement”) dated November 28, 2019 whereby the parties agreed the Payment would be made in two equal installments of $50,000, one installment on or before November 30, 2019 (paid) and a second installment being due on January 30, 2020.

On January 30, 2020, the Company and Globex entered into a Second Amending Agreement where the second installment will be satisfied by making payments in cash and shares. Under the Second Amending Agreement, the Company will make a cash payment of $25,000 on or before March 30, 2020 and issue 400,000 common shares of the Company to Globex, subject to TSX Venture Exchange approval.

Upon issue of the shares for the second installment, Tres-Or will have 14,400,828 shares outstanding.
