NOTICE
1. Sixty Seventh Annual General Meeting (AGM)
Notice is hereby given that the Sixty Seventh AGM of the Company is
scheduled to be held on Thursday, 1s'August 2019 at 3.30 P.M. at Walchand
Hirachand Hall, 4lh Floor, IMC Chamber of Commerce and Industry, IMC
Building, IMC Marg, Churchgate, Mumbai -400 020.
The dispatch of the Annual Report and Notice to the members has been
completed on Friday, 28lh June 2019. The Notice of the AGM and Annual Report
are also available on the website of the Company at www.mywestside.com
and on the website of National Securities Depository Limited (NSDL) at
www.evoting.nsdl.com. National Stock Exchange of India Limited at
www.nseindia.com and BSE Limited at www.bseindia.com.
A member entitled to attend and vote is entitled to appoint one or more
proxies to attend and vote instead of himself/ herself and the proxy need
not be a member. Proxies, in order to be effective, must comply with the
provisions of Section 105 of the Companies Act, 2013 read with Rule 19 of
the Companies (Management and Administration) Rules, 2014, and be
received at the Company's Registered Office not less than 48 hours before
the meeting.
2. Book Closure for purpose of dividend and AGM
The Directors have recommended a dividend of 130% i.e. ? 1.30/- per
Equity Share of ? 1/- each of the Company, for the approval of members at
the forthcoming AGM.
The Register of Members and Share Transfer Books of the Company will
be closed from Tuesday, 23,d July 2019 to Thursday, 25th July 2019 (both
days inclusive) for the purpose of payment of dividend, if any & AGM of the
Company scheduled to be held on 1st August 2019.
If the Dividend on Equity Shares, as recommended by the Board of
Directors, is approved at the forthcoming AGM, such dividend will be paid
on or after Wednesday, 7in August 2019 as under:
i. To al! Beneficial Owners in respect of shares held in dematerialized
form as per details furnished by the depositories for this purpose as
of the close of business hours on Monday, 22nd July 2019;
it. To all Members in respect of shares held in physical form after giving
effect to valid transmission or transposition requests lodged with the
Company as of the close of business hours on Monday, 22nd July 2019.
3. Remote e - voting
In compliance with the provisions of Section 108 of the Companies Act,
2013 and the Companies (Management and Administration Rules), 2014,
as amended from time to time and Regulation 44 of the Securities Exchange
Board of India (Listing Obligations and Disclosure Requirements)
Regulations, 2015 (SEBI Listing Regulations), the Members are provided
with the facility to cast their vote electronically, through remote e-voting
services provided by NSDL, on all resolutions set forth in the Notice of the
AGM and the business may be transacted through such voting.
The remote e-voting would commence on Monday, 29,h July 2019 (9.00 a.m.
1ST) and ends on Wednesday, 31$l July 2019 (5.00 p.m. 1ST). The e-voting
module shall be disabled by NSDL for voting thereafter. Once the vote on a
resolution is cast by the Member, the same cannot be changed subsequently.
The facility for voting through ballot papers shall be made available at the
AGM and Members attending the meeting who have not already cast their
vote by remote e-voting prior to the meeting shall be able to exercise their
right to vote at the meeting. The members who have cast their vote by
remote e-voting prior to the meeting can attend the meeting but shall not
be entitled to cast their vote again.
A person, whose name is recorded in the Register of Members or in the
Register of Beneficial Owners maintained by the Depositories as on the
cut-off date i.e. Thursday, 25lh July 2019, only shall be entitled to avail the
facility of remote e-voting or voting at the AGM. Any person who acquires
shares of the Company and becomes a member of the Company
after dispatch of the Notice and holding shares as on Thursday, 25th July 2019
may obtain the Login Id and Password by sending a request to
evotino@nsdl.co.in or vole at the AGM.

the Notice of AGM, email communication to members by NSDL as well as
on the website of NSDL www.evotinq.nsdl.com. In case of any queries
