Offer of Shortfall Under Rights Issue Closes Oversubscribed

The Board is delighted to announce that it has received solid support from both shareholders and investors for the placement of shortfall shares arising from the non-renounceable Rights Issue which closed on the 29 December 2011 (“Rights Issue”).

The Company has received applications totalling $2,219,147 for shares under the shortfall placement at the same issue price as the Rights Issue, being $0.01 per share.

Zambezi Resources Limited has successfully raised total gross proceeds of $4.195M being:-

  • $1.976M under the Rights Issue;

  • $2.219M under the shortfall placement (subject to final clearance of funds), including solid support from existing shareholders.

The shortfall shares are expected to be allotted shortly and an Appendix 3B will be lodged in due course.

The funds raised by the Rights Issue and the placement of shortfall shares will be applied by Zambezi towards working capital, exploration, and development costs associated predominantly with its Kangaluwi Copper Project. Together with other available funds, the Company will utilise those funds towards the feasibility study for the development of the Kangaluwi Copper Project.
