Potential rescheduling of 2014 Annual General Meeting

On 21 August 2014, Treasury Wine Estates Limited (ASX:TWE or the “Company”) noted in its Appendix 4E Preliminary Final Report for the year ended 30 June 2014 that its Annual General Meeting (“AGM”) was currently scheduled to be held at 10.00am on 30 October 2014 at the National Wine Centre of Australia, Corner of Botanic and Hackney Roads, Adelaide, South Australia.

As previously announced, TWE is currently engaged in discussions with two private equity investor groups concerning acquisition proposals which may proceed by way of a scheme of arrangement.

TWE’s directors consider that, if possible, it would be preferable for the Company and its shareholders for any scheme of arrangement to be considered on the same day as the Company’s 2014 AGM, in order to reduce costs and increase convenience for shareholders.

Accordingly, if a binding transaction is agreed as a result of the discussions, it is likely that the AGM will be held later than the date previously specified (30 October 2014).

TWE will make a further announcement in relation to the date for the AGM in due course.

The Board reiterates that there is no certainty that any proposal will result in an offer for the Company.
